Here you will find information on the conditions that apply to the use of FunnelCAD.
Scope and Contracting Party
1.1 These Terms of Service (hereinafter: "Terms") apply to the use of the web app FunnelCAD and the website funnelcad.com by entrepreneurs within the meaning of Section 14 BGB (German Civil Code), legal entities under public law, and special funds under public law. They apply to free use and – as soon as we offer them – to paid plans. Our offer is not aimed at consumers within the meaning of Section 13 BGB. By creating an account, you confirm that you use FunnelCAD in the exercise of your commercial or independent professional activity.

1.3 Any deviating terms and conditions of the user apply only if we have expressly agreed to them in text form. Individual agreements take precedence.
Description of the Service
FunnelCAD is a program in which you build a sales funnel like a technical drawing: traffic sources, steps and offers, connected by conversion rates. From your inputs, FunnelCAD computes, among other things, revenue, costs, hours and profit per month and how likely a month is to reach your target. The conditions relevant to you can be found in the corresponding sub-section.
Use Without an Account
You can use FunnelCAD free of charge and without an account in your browser. The app saves your funnels automatically in the local storage (localStorage) of your browser. These funnels are available only in this browser on this device. If your browser blocks storage, the app keeps working and tells you so once; your funnels are then not saved in the browser.
The browser can delete data kept in local storage. For backups, Section 7.1 applies.
Account and Cloud Storage
You can optionally create a free account. Funnels that you add to your account are stored in the cloud and are available on every device on which you sign in. Changes are saved on your device first and are sent to your account as soon as our server can be reached. If another device saved the same funnel first, you decide which version applies.
Cloud storage is subject to the limits of your plan. You can see them in the app under "Account settings ▸ Plan". Free is currently the only plan. It includes up to 200 cloud funnels of up to 1 MB each. With "Download everything", you receive all of your data as one JSON file.
FunnelCAD has no function for sharing funnels or editing them together. To show a funnel to somebody, you export it.
Export
You can export every funnel as a funnel file (JSON or .fcad) with all of its scenarios and import it again. You can also export the drawing as PNG, as SVG, and as PDF for printing. Export is also available without an account.
Calculations
FunnelCAD computes all figures exclusively from your inputs and assumptions, such as budgets, costs per click, conversion rates, prices and hours. The results are model calculations. They show what follows from your assumptions, not what will actually happen. For liability and warranty, Section 8 applies.
Planned Paid Plans
On the website, we present the planned plans Pro (€19 per month or €159 per year) and Studio (€49 per month per workspace, including 3 seats). We do not offer these plans yet, and they cannot be booked yet. We will add the scope of services, prices, term, payment and termination of the paid plans to these Terms before we offer them.

The website funnelcad.com provides information about FunnelCAD and contains documentation. Its content is for general information only and is not advice.
Conclusion of Contract
3.1 The presentation of FunnelCAD and its plans on the website does not constitute a binding offer.
3.2 For the use of FunnelCAD without an account, these Terms apply as soon as you use the app.
3.3 When you create an account, a free contract of use for the account on the Free plan is concluded. There is no entitlement to an account. We may temporarily restrict registration, for example to invited persons, or close it.
3.4 We will set out in these Terms how contracts for paid plans are concluded before we offer these plans.
Rights of Use
4.1 For the duration of use, we grant you the simple, non-transferable right to use FunnelCAD as intended in the browser for your business purposes, including in projects for your clients. You receive no further rights to the software, to the name and logo of FunnelCAD, or to the content of the website, unless mandatory statutory provisions permit otherwise.
4.2 The funnels, scenarios, notes and tasks that you create in FunnelCAD are your content. We acquire no rights to them. If you store funnels in your account, you grant us only the rights we need to store them, transmit them and show them to you on your devices. You may use your exports (funnel file, PNG, SVG, PDF) freely, including commercially.
4.3 You may use the example funnels included in FunnelCAD as a starting point for your own funnels and adapt them.
Prices and Payment
5.1 The use of FunnelCAD is currently free of charge. The Free plan costs €0.
5.2 The prices for Pro and Studio stated on the website are planned prices. Only the prices we state in the ordering process when we introduce the paid plans are binding.
5.3 As soon as we offer paid plans, the following applies: all prices are net prices plus the statutory value added tax, unless expressly stated otherwise. The price in the ordering process is decisive. We will state payment methods, billing period and invoicing in the ordering process and add them to these Terms.
5.4 If you are in default of payment for a paid plan, we may suspend the paid services until the amounts due have been paid. Statutory rights in the event of default remain unaffected.
Availability
6.1 We provide free use without any assured availability. There is no entitlement to a specific availability or to permanent provision. Maintenance, faults, updates or outages of third-party services may temporarily restrict use.
6.2 The editor works in your browser. If the connection to your account is interrupted, you can keep working. Changes to cloud funnels are saved on your device and sent as soon as our server can be reached again.
6.3 We may develop FunnelCAD further and change, restrict or discontinue functions, limits and the Free plan. If we restrict cloud storage to your disadvantage or discontinue it, we will inform account holders by email at least 30 days in advance so that they can back up their data, for example with "Download everything".
User Obligations
7.1 Backups: Funnels that are saved only in the browser are kept exclusively in this browser on your device. The browser can delete them, for example when you clear site data or your history, in private mode, when storage space runs low, after a longer period without use (depending on the browser), or through settings and extensions. We cannot restore such funnels. You are responsible for regularly exporting important funnels or saving them in your account. For cloud funnels, too, we recommend a regular backup with "Download everything".
7.2 Access: Keep your access credentials secret and protect access to your account. When registering, provide an email address at which you can be reached. If you suspect misuse of your account, please inform us without delay.
7.3 Lawful use: You may use FunnelCAD only within the framework of the applicable laws and without infringing the rights of third parties. In particular, it is not permitted to circumvent limits or security measures, to attack our systems, to use the service in an automated way that impairs its operation, or to store unlawful content in your account.
7.4 If you seriously breach these obligations, we may temporarily block your account. Section 11.2 remains unaffected.
Liability and Warranty
8.1 We are liable without limitation for intent and gross negligence, for culpable injury to life, body or health, under the Product Liability Act, for fraudulent concealment of a defect, and to the extent of an expressly assumed guarantee.
8.2 In the event of a slightly negligent breach of an essential contractual obligation, our liability is limited to the damage that was foreseeable and typical for the contract at the time the contract was concluded. Essential contractual obligations are obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the user may regularly rely.
8.3 Otherwise, liability for slight negligence is excluded. The above limitations apply accordingly in favour of our legal representatives and vicarious agents.
8.4 The figures in FunnelCAD – such as profit, probabilities, the cost of a client, or what a first test can show – are model estimates based on your own inputs and assumptions. They are not financial, tax, legal or investment advice, and they are no promise or guarantee that you will achieve any particular revenue, profit or result. You make any decisions based on the calculations on your own responsibility.
8.5 In the event of data loss caused by slight negligence, our liability is limited to the effort that would have been required to restore the data if you had backed up your data regularly in accordance with Section 7.1.
8.6 We do not owe that FunnelCAD works without errors and without interruption in every browser and on every device. For the deletion of browser data by you, your browser or your operating system, for changes made by browser or operating system manufacturers, and for outages of third-party services, we are liable only in accordance with Sections 8.1 to 8.3.
Business Customers Only
9.1 FunnelCAD and its plans are aimed exclusively at entrepreneurs within the meaning of Section 14 BGB. We do not accept accounts or orders for predominantly private purposes.
9.2 The statutory provisions on the consumer right of withdrawal and on the cancellation button for consumer contracts therefore do not apply to the contracts covered by these Terms. Should you have created an account or ordered a plan as a consumer by mistake, please inform us without delay; we can delete the account, cancel the order and refund any payments already received.
Data Protection
10.1 Information on the handling of your personal data can be found in our Privacy Policy. We generally process your data only within the framework of the applicable data protection laws of the EU and Germany.
10.2 If you store personal data of third parties in FunnelCAD, such as names in notes or tasks, you are responsible for processing this data lawfully and for informing the persons concerned accordingly.
Term, Termination and Account Deletion
11.1 The contract of use for the free account runs for an indefinite period. You can end it at any time without notice by deleting your account or by asking us to do so by email to legal@musnuss.de.
11.2 We may terminate the contract for the free account with 30 days' notice in text form. The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular in the event of a serious breach of Section 7.3.
11.3 When your account is deleted, we delete the data stored in your account, including your cloud funnels, unless statutory retention obligations prevent this. Back up your data beforehand, for example with "Download everything".
11.4 Deleting your account does not touch the funnels saved in your browser. They stay there until you or your browser delete them.
11.5 We will set out the term and termination of paid plans in these Terms before we offer these plans.
Final Provisions
12.1 Applicable Law and Jurisdiction: The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a merchant, a legal entity under public law, or a special fund under public law, our place of business is the place of jurisdiction for all disputes.
12.2 Changes to These Terms: We may change these Terms with effect for the future, in particular when we introduce paid plans or change functions. We will inform account holders of material changes in advance in text form. If you do not agree with a change, you can delete your account in accordance with Section 11.1.
12.3 Amendments and supplements to the contract should be recorded in text form. Individual agreements take precedence over these Terms regardless of their form.
12.4 Should a provision of these Terms be or become wholly or partially ineffective, the rest of the contract remains effective. The ineffective provision is replaced by the statutory provisions.
12.5 Contract Language: The contract language is German. Translations into other languages are for information purposes only and are not legally binding.
These Terms are valid without signature and come into effect upon publication on the website.
